My 2.9 (2.8 +030) is putting out 165hp so Why would I go thru the change out??? I am speaking strictly from a mechanical/time stand point.

The general answer would be "To Be Different or Because You can!"

Are you sure about that 165? A stock 2.8 made only 134/140 and I don't think another .1 will make 25 hp.

Also, you are probably making about 180 lb/ft compared to 285 for the 4.9.

It isn't the horsepower ya care about.
It's the low end torque. I had a corvair that I souped up I had 196 horse power out of it. I was real proud of it. But, it was worthless under 3500 rpm. I was the only one who could drive it. (And on top of that it had a real narrow power band.) When you squeeze lots of horsepower out of a smaller engine, you trade drivability.
